SeaChange International, which provides TV middleware and video-on-demand solutions, among other offerings, announced it is acquiring VividLogic, a company that offers Tru2way middleware and home gateway solutions, in a $12 million cash deal. The companies are running a technology demonstration together this week at the Consumer Electronics Show in Las Vegas. SeaChange is based in Acton, Mass., and VividLogic is in Fremont, Calif.

A key to the timing of this deal seems to be the expiration this year of an agreement that SeaChange had with Liberate Technologies that barred SeaChange from selling set-top box software in North America. SeaChange now seems keen to get a boost into that market via a deal to buy a company that already has North American vendor partners and customers.
